Agreement to Terms
These Terms of Service (“Terms”) govern access to and use of the Adtouch Labs communications workflow automation platform (the “Service”).
By accessing or using the Service, you (“Customer,” “you,” or “your”) agree to be bound by these Terms and our Privacy Policy.
If you are using the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.
Overview of the Service
Adtouch Labs provides a communications workflow automation platform that enables businesses to configure, deploy, and operate automated communications workflows across phone calls, messaging (including SMS), and related channels.
The Service consists of software systems that may include, without limitation:
- Assignment and management of phone numbers
- Inbound call handling using automated and AI-assisted systems
- Outbound calling and messaging initiated by Customer-defined workflows
- Call routing, forwarding, escalation, and voicemail handling
- Data collection from callers and message recipients
- Delivery of structured outputs such as booking links, confirmations, cancellations, reminders, or notifications
- AI-based processing, including transcription, summarization, classification, and sentiment analysis
- Dashboards, logs, transcripts, task management, inquiry ticket management, and reporting
- Integrations with third-party systems authorized by Customer (e.g., booking, reservation, CRM, telephony, web, mobile, or operational platforms)
The Service executes workflows exactly as configured by Customer. Adtouch Labs does not define business logic, messaging content, timing, recipients, or operational decisions.
Roles of Adtouch Labs vs Customer
Technology Provider Only
Customer acknowledges that Adtouch Labs:
- Provides software and technical infrastructure only
- Does not act as Customer's agent, representative, or operator
- Does not control Customer's customer relationships
- Does not determine compliance obligations or business practices
Customer retains sole responsibility for how the Service is used.
Customer Responsibilities
Customer is solely responsible for:
- All communications sent or received through the Service
- All workflows, configurations, prompts, and routing rules
- The accuracy, completeness, and timeliness of all data used
- Monitoring outputs and determining when human review is required
Call Recording, Transcription, and Automated Processing
Recording and Transcription
Customer acknowledges and agrees that:
- Calls handled through the Service may be recorded
- Call audio is processed to generate transcripts
- Call audio and transcripts may be stored for:
- Troubleshooting and system diagnostics
- Legal and regulatory compliance
- Dispute resolution
- Security monitoring
- Enforcement of these Terms
Retention periods are not fixed and may vary based on operational, legal, or contractual requirements.
Consent and Disclosure Obligations
Customer is solely responsible for:
- Determining whether call recording and transcription are permitted in each jurisdiction
- Providing any required disclosures to callers
- Obtaining any required consent prior to recording or transcription
- Ensuring compliance with all applicable wiretap, consent, and privacy laws
Adtouch Labs does not obtain consent from callers on Customer's behalf and does not monitor Customer compliance with recording laws.
Automated Outputs and AI Limitations
Customer acknowledges that:
- The Service uses automated systems, including artificial intelligence and machine learning
- AI-generated outputs are probabilistic and not guaranteed to be correct
- Outputs may be incomplete, inaccurate, outdated, or ambiguous
The Service is not a substitute for human judgement where accuracy, safety, legal compliance, or regulatory obligations are critical.
Legal and Regulatory Compliance
Customer is solely responsible for compliance with all applicable laws and regulations, including but not limited to:
- Telephony and messaging laws (e.g., TCPA, carrier rules)
- Call recording and transcription laws
- Consent, opt-in, and opt-out requirements
- Privacy and data protection laws
- Marketing, advertising, and consumer protection laws
Adtouch Labs disclaims any responsibility for Customer's compliance obligations.
Prohibited Uses
You agree not to use the Service for any unlawful, harmful, or abusive purpose.
Prohibited uses include, without limitation:
Communications and Messaging Abuse
- Sending unsolicited, deceptive, or unlawful calls or messages
- Violating TCPA, CAN-SPAM, GDPR, or similar laws
- Failing to honor opt-out or consent requirements
- Caller ID spoofing or misrepresentation
- Harassment, intimidation, or abusive communications
- High-volume or repetitive calling intended to overwhelm recipients
- Impersonate government entities, emergency services, or regulated authorities
Fraud and Misrepresentation
- Impersonation of individuals or businesses
- Fraudulent booking, payment, or identity collection
- Misleading customers about availability, pricing, or policies
System and Infrastructure Abuse
- Attempting to bypass safeguards or usage limits
- Introducing malware or harmful code
- Reverse-engineering or extracting models, prompts, or system logic
- Using the Service to interfere with networks, carriers, or third-party systems
Content and Data Violations
- Collecting or transmitting personal data without authorization
- Using the Service to process sensitive data unlawfully
- Uploading or using content you do not have rights to
Adtouch Labs may suspend or terminate access for prohibited use without notice.
Third-Party Systems and Data Sources
The Service may integrate with third-party platforms.
Adtouch Labs is not responsible for:
- Third-party outages or API changes
- Data inaccuracies from external systems
- Differences between third-party system behavior and your expectations
Customer represents that it has all necessary rights to authorize access to third-party data.
Account Registration and Security
Customer agrees to:
- Provide accurate account and billing information
- Secure your credentials
- Notify us promptly of unauthorized access
Customer is responsible for all activity in the account, including activity initiated by staff, contractors, or automated workflows.
Fees, Usage, and Billing
Customer agrees to pay all applicable subscription and usage-based fees.
- Subscription fees are typically billed in advance
- Usage fees are calculated from system and provider records
- Adtouch Labs' usage records are the authoritative source of truth
Billing disputes must be raised within thirty (30) days.
Suspension and Termination
We may suspend or terminate access if:
- Fees are unpaid
- These Terms are violated
- Required by law, carrier, or infrastructure providers
Customer remains responsible for all fees incurred prior to termination.
Intellectual Property
All software, systems, models, and documentation are owned by Adtouch Labs or its licensors.
Customer receives a limited, non-exclusive, non-transferable right to use the Service during your subscription.
Disclaimer of Warranties
The Service is provided “as is” and “as available.”
Adtouch Labs disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Adtouch Labs and its affiliates are not liable for:
- Indirect, incidental, special, or consequential damages
- Lost profits, revenue, or business opportunities
- Errors in AI outputs or data
- Communication failures or misdelivered messages
- Third-party system failures
Total liability will not exceed the amount paid by you in the thirty (30) days prior to the event giving rise to the claim.
Indemnification
Customer agrees to indemnify and hold harmless Adtouch Labs, its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses arising from:
- Your use of the Service
- Your violation of these Terms or applicable laws
- Your communications with customers
- Your handling of personal data or marketing messages
Miscellaneous
- If any provision is found unenforceable, the remaining provisions remain in effect
- These Terms do not create an agency, partnership, joint venture, or employment relationship
- Customer may not assign these Terms without our consent
- We may assign these Terms as part of a business transaction
Changes to the Service or Terms
We may update these Terms or the Service from time to time. Continued use constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of the State of California. Venue is Orange County, California.
